Valdemoro Cua, Wilma M.

Wilma M. Valdemoro Cua (Senior Partner), is member of the Executive Board and head of the Corporate department. Her practice focuses on corporate law and intellectual property.

 

Wilma specializes in providing foreign investors, particularly multinational corporations, providing them with a broad range of services in all phases of doing business in the Philippines, may it be in the applicable laws on the various business forms and alternative structures open to investors, in fiscal and non-fiscal incentives, or in the legal procedures and documentations for conducting business.

 

Wilma also assists local and international clients in the establishment of corporations, branch offices, partnerships, regional headquarters, regional operating headquarters, and other business entities such as foundations, proprietary membership clubs, and non-stock corporations. She has extensive practice in joint venture agreements, consultancy agreements, and international licensing and technology transfer agreements.

 

Wilma counsels clients in regulatory and transactional matters. She advises ongoing operations of companies engaged in a wide range of activities, such as forestry and mining, car assembly and manufacturing, domestic and international freight forwarding, semiconductors, and real estate development. She has represented both Philippine and foreign clients in dealings before the Securities and Exchange Commission, Board of Investments, Philippine Economic Zone Authority, and other government regulatory agencies.

 

Wilma  received her bachelor’s degree in Political Science, Magna Cum Laude from the University of Santo Tomas in 1969 and her  bachelor of laws degree, from the University of the Philippines in 1973 . She was admitted to the Philippine Bar in 1974 and the New York State Bar in 1990. She joined the firm in 1974.

Cosico, Manuel M.

Manuel M. Cosico is a partner who is affiliated with the Transportation, Litigation & Arbitration, and Labor & Immigration departments. His practice focuses on admiralty, litigation, arbitration, and labor.

 

As a maritime lawyer, Manny handles ship arrest and seaman’s claim cases. He likewise handles acquisitions and sales of ocean-going vessels, which involve extensive negotiations with foreign sellers or buyers and their foreign counsels, and dealings with the MARINA and Philippine Ports Authority. He also handles marine insurance, general and particular averages, and salvage cases.

 

As an arbitration lawyer, Manny handles both foreign and domestic arbitration cases, such as construction disputes and commercial transaction issues. He has appeared before the ICC, the Singapore International Arbitration Center, and the Triple-A Arbitration Center in New York City.

 

Manny is currently the Chairman of the Construction Industry Arbitration Commission, which has exclusive jurisdiction over construction disputes in the Philippines. He is also an Accredited Arbitrator at the Philippine Dispute Resolution Center, Inc. which hears and decides disputes that are commercial in nature.

 

Manny rejoined the firm as counsel for admiralty and litigation after resigning as Regional Trial Court/Special Criminal Court Judge of Makati City in 1992, becoming partner the year after.

 

Manny acquired his basic training in maritime practice in the admiralty law firms of Walker & Corsa in New York and John Meadows & Associates in San Francisco, and at the California Maritime Institute. He received his bachelor of laws degree from the Ateneo de Manila University in 1967 and was admitted to the Philippine bar in 1968.

Collantes-Garcia, Anna Cristina

Cristina Collantes-Garcia is a partner working with the Project Development & Finance department. Her practice focuses on project development and finance, and securities.

 

Cristina gives advice on transaction structure, reorganization, and restructuring as well as licensing and regulatory matters. She has extensive experience in cross-border acquisitions and capital market transactions. She also specializes in banking, finance, energy, and infrastructure projects.

 

Cristina is well-versed in work involving public bidding of governmental assets. Chua, Yvette C.

Yvette C. Chua is a partner who is a member of the Project Development & Finance department. Her practice focuses on project development and finance, and securities.

 

Yvette advises domestic and foreign clients on various corporate deals and transactions involving mergers and acquisitions, joint ventures, initial public offerings, equity and debt issuances, project financing, corporate restructuring, government contracts, taxation, and regulatory matters. She represents domestic and foreign clients before various regulatory agencies such as the Securities and Exchange Commission, Bangko Sentral ng Pilipinas, Philippine Economic Zone Authority, and The Philippine Stock Exchange.

 

Prior to joining Romulo, Yvette was with another law office where she handled various civil, criminal, and administrative litigation cases. She was also involved in international commercial arbitration cases and appellate proceedings before the Court of Appeals and Supreme Court.

 

Yvette has taught Business Law in the College of Business Administration of the University of the Philippines. She also speaks Fookien.

 

Yvette received her bachelor’s degree in Accountancy, cum laude, from De La Salle University in 2000 and was awarded the Joaquin Cunanan Medal of Excellence. She thereafter received her bachelor of laws degree, cum laude, from the University of the Philippines in 2005, where she graduated Salutatorian and was awarded the Dean’s Medal for Academic Excellence. Cagayan, Betrand Hans B.

Hans’s litigation experience includes appearances before the trial courts, Court of Appeals, and quasi-judicial bodies of the Philippines. Benedicto, Jose Gabriel R.

Jose Gabriel R. Benedicto is a partner who is the head of the Family Law department and a member of the Litigation & Arbitration, and Intellectual Property departments. His practice focuses on family law, litigation, intellectual property, and corporate law.

 

Joey has extensive experience in litigation cases involving criminal, civil, and administrative matters pending in administrative agencies, trial courts, the Court of Appeals, and the Supreme Court. He specializes in family law cases involving pre-nuptial agreements, annulment of marriage, legal separation, spousal and child support, guardianship, adoption, separation of properties, wills, succession, and estate planning.

 

Joey handles applications for trademarks, copyright, and patent registrations as well as their prosecution and enforcement. He has long experience resolving disputes involving trademarks, copyrights, patents, trade dress, and misuse of confidential information.

 

Joey assists in negotiation and preparation of documentation requirements for projects between Filipino and foreign parties. He advises domestic and foreign clients on commercial transactions, licensing matters, and joint ventures. He also performs corporate secretarial functions for corporations.

Pe, Perry L.

Perry L. Pe (Senior Partner), is a member of the Executive Board and head of the Project Development & Finance group.

 

Perry leads various projects in the fields of energy, infrastructure, mining, oil and gas exploration, telecommunications, government privatization, and other private-public partnership (PPP) or build-operate-transfer (BOT) transactions. His work ranges from acting as counsel to the project proponents, to the project contractors, and to that of the project lenders, such as the commercial banks, the multilateral or bilateral lending institutions and the export credit agencies.

 

Foremost among those cases that Perry has handled were (a) the government service contract given to the consortium for the oil and gas exploration of an oilfield off Northwest Palawan; (b) the purchase by the Philippine government banks of the securitized assets of the rail transit company; (c) the sale of the Philippine government’s shareholdings in the country’s biggest oil refinery and distribution company; (d) the privatization of the country’s largest geothermal plant company; and (e) the successful initial public offering and listing of one of Southeast Asia’s largest low-cost carriers.

 

Perry has also assisted various institutions in developmental work. He acted as a legal consultant to the Asian Development Bank based in Manila. He acted as a legal consultant to the World Bank team that drafted the rules and regulations for the commercialization of the former United States naval base in Subic Bay. He also assisted the Privatization Council on the privatization of several water districts in the Philippines.

 

Perry received his undergraduate degrees in History and Political Science in De La Salle University in 1981. He received his bachelor of laws from the Ateneo de Manila in 1985, and master of laws in Columbia University Law School in 1991. He joined the firm in 1985 and started his practice in 1986.

Nicandro, Rogelio

Rogelio Nicandro (Senior Partner), is a member of the Executive Board and the head of the Intellectual Property group. His practice focuses on intellectual property, litigation, and arbitration.

 

Roger started practicing law immediately after the bar when he was invited by his professor, William R. Veto, a commercial law authority and senior counsel of Tañada Carreon Tañada, to be his legal assistant. He handled civil and commercial litigation at the trial and appellate level. He also handled insurance and intellectual property, variegated contracts, and prepared opinions for his banking clientele.

 

Roger joined the firm in 1969. In his early years, his practice was concentrated on litigation, civil and commercial, with some criminal cases. He was also into contracts, banking, corporations, intellectual property, and condominiums. He is a pioneer in condominium law practice, having been counsel for the earliest condominium projects in the Philippines.

 

Roger has acted as panel chairman and arbitrator in significant cases and has been elected since 1996 as trustee of the Philippine Dispute Resolution Center, the country’s foremost arbitration center.

 

In 1999, he became the head of the intellectual property department of the firm. He regularly attends international IP congresses where he often contributes country reports and position papers. He is currently Vice-President of the Intellectual Property Lawyers’ Association of the Philippines and is past president of the Licensing Executives Society International, Philippine Group.

 

From 1987 to 2011, Roger was a legal consultant of the Asian Development Bank. He also taught Election Law in Ateneo Law School for eight years. He was lead counsel of the National Movement for Free Elections (NAMFREL), particularly, for its successful accreditation as the citizen’s arm for the snap presidential elections of 1986 before the Marcos-controlled Commission on Elections. He likewise handled human rights cases and became Counsel General of the Brotherhood of Nationalistic, Involved and Free Attorneys to Combat Injustice and Oppression (BONIFACIO), a human rights lawyers’ group. He is past president of the Legal Management Association of the Philippines.

 

Roger received his A.B. Philosophy degree from San Beda College and is a graduate of the Ateneo de Manila School of Law.

Mirasol, Jose Salvador Y.

Jose Salvador Y. Mirasol (Senior Partner), is a member of the Executive Board and the head of the Corporate Banking & Finance group. His practice focuses on banking and finance, corporate law, and real estate.

 

Zaldy is particularly consulted by corporate clients on structuring, nationality compliance, capital raising, counterparty negotiation, and other difficult corporate issues. He is likewise engaged by major foreign banks, multilaterals, and financial institutions on derivatives and structured products, cross-border advisory and investments, franchise expansion, multi-creditor cross-currency refinancing, and other complex financial transactions. His advice is sought for its comprehensiveness, creativity, and practicability.

 

Zaldy is regarded for his ability to innovate and design legal solutions that eventually became industry standards. He pioneered the structure that enables foreign condominium ownership beyond 40%. He created concepts like “unsolicited offer to purchase”, “nominated subcontracting”, “shared areas”, and “concomitant interest”. His proposed statutory amendment enabled foreign bank branches to become universal banks. He designed the legal framework of the Philippine Central Depository, which modernized the settlement of equity trades in the stock exchange, and the Philippine Dealing System, which formalized the marketplace and support infrastructure for fixed-income securities. The documentation he developed for Tier 2 issuances became an industry template for Basel-compliant quasi-equity instruments for banks.

 

Zaldy has been cited as a Band 1 leading individual in corporate and commercial law, banking and finance, capital markets, and mergers and acquisitions by various international legal publications for several years now. He is a faculty member of Commercial Law of the Philippine Judicial Academy of the Supreme Court, and the College of Law of the University of the Philippines.

 

Zaldy earned his bachelor’s degree in Philosophy and Mathematics, cum laude and department awardee, from the Ateneo de Manila University in 1980, joining the Philosophy faculty the same year. He received his bachelor of laws degree, cum laude and class valedictorian, from the University of the Philippines in 1988. He was admitted to the Philippine bar and joined the firm in 1989.
