Ma. Clarissa P. Oben-Evangelista’s practice covers a wide range
of commercial transactions. She specializes in mergers and
acquisitions, debt restructuring and corporate rehabilitation, loan
transactions, as well as mortgage and other security transactions, and
foreign investments. Her expertise also includes retail trade,
securities laws, and privatization.
Ms. Oben-Evangelista was admitted to the Philippine Bar in 1997.
Practice
Ms. Oben-Evangelista has structured and implemented investments,
acquisitions and joint ventures of Philippine and foreign clients in
Philippine companies, particularly those in the highly regulated fields
of energy, infrastructure development, retail trade, telecommunications
and banking. In this connection, she is involved in all stages of the
transaction, including the preparation, negotiation and finalization of
the transaction documents, and securing government licenses and
approvals relating thereto. In addition, she regularly renders advice
to Philippine and foreign clients on the regulatory environment for
doing business in the Philippines and the business structures available
under Philippine law.
Ms.
Oben-Evangelista’s expertise includes advising clients on their
rights as creditors of distressed corporations and corporations
undergoing debt restructuring or corporate rehabilitation. She also has
experience in the local and international offer of Philippine corporate
debt issuances. She acts as counsel to non-Philippine nationals
intending to engage in retail trade or in connection with their current
retail trade activities.
In addition, Ms.
Oben-Evangelista has represented clients, both Philippine and foreign,
in dealings with the Securities and Exchange Commission, the Bangko
Sentral ng Pilipinas and the Board of Investments on matters such as
licensing, maintenance of corporate entities, the offer of securities,
and registration of investments. She has rendered advice to the
Philippine Stock Exchange and its trading participants on the
regulatory framework of the Philippine securities industry. Ms.
Oben-Evangelista also provides general corporate services to several
Philippine corporations, and acts as corporate secretary or director.
