Johann’s practice deals with a broad range of energy and
infrastructure projects, including power generation, biofuels, and
renewable energy. He is involved in mergers and acquisitions, initial
public offerings, and credit transactions. He is also a member of the
firm’s Information Technology Department.
Atty. Espiritu was admitted to the Philippine Bar on 2001 and the New York State Bar on 2005.
Practice
Johann has advised domestic and international corporations on corporate
law, commercial law, foreign investments, infrastructure projects,
energy/power projects, telecommunications, mergers & acquisitions,
and securities acting as counsel to the equity investors, turnkey
contractors, or project lenders. He has also assisted on the launch
several securities offerings, both in Philippine and international
markets.
Johann previously served as General Counsel to a
defense company located in Washington, DC, USA. While there, he was
responsible for drafting and negotiating convertible notes and purchase
agreements to raise capital for a start-up corporation in the defense
arena. He also drafted complex contracts for the supply of geospatial
intelligence software for use by the U.S. Government, and handled
intellectual property matters for a high-technology start-up.
Professional Activities
Johann is a lecturer at the Ateneo de Manila University School of Law
for Information Technology Law and Venture Capital Transactions. He is
also Director of Career Development in the same institution.
He is also acted as advisor to the State of Eritrea’s study on
democratic adversarial procedures, judicial reform, and modern laws of
evidence.
He currently sits as President of the Georgetown Club of the Philippines.
