Atty. Montoya's practice deals with a broad range of commercial and corporate matters. He also practices intellectual property law.
Previously, he was also involved in banking, and energy and infrastructure law practice. He was also part of the litigation department of the firm.
Atty. Montoya was admitted to the Philippine Bar in 1995, and received his Masters of Law from Columbia University in New York in 1999.
Practice
Atty. Montoya has represented both Philippine and foreign clients in various corporate dealings and on both sides of the deal. He has advised clients in the fields of mergers and acquisitions, corporate finance such as initial and secondary public offerings, warrant offerings, tender offers, private placements, loan syndications, joint ventures, and corporate reorganizations.
He has also counseled foreign and local clients in various investment and/or acquisition projects including registration and establishment of local subsidiary and of representative offices, acquisition of existing domestic entities including publicly-listed companies, registration with appropriate government regulatory agencies such as the Securities and Exchange Commission and the Philippine Stock Exchange, preparation and negotiation of corresponding legal documentation , conduct of due diligence reviews. He has participated in establishing several call center and business process outsourcing operations of foreign clients in the Philippines.
Atty. Montoya also has an extensive practice in intellectual property matters, including franchising and licensing matters, as well as intellectual property filings for patents and trademarks, and intellectual property litigation.
Atty. Montoya has also performed general corporate secretarial work and counseling for several companies including publicly-listed companies.
