Mr.
Montilla is in the firm's securities group focusing on debt and equity
capital market transactions. His practice involves a broad range
of public and private equity financing, mergers and acquisitions and
debt restructuring.
Mr. Montilla was admitted to the Philippine Bar in 1996 and the New York Bar in 1999.
Practice
Mr.
Montilla regularly advises domestic and foreign clients, mainly large
financial institutions, private equity firms and Philippine companies
in new money debt or equity finance, as well as distressed debt and
restructuring transactions. In firm's capital markets practice, he has
advised issuers, shareholders and investment banks on numerous
international securities offerings, many of which involve a listing on
Philippine Stock Exchange. He was among the lead counsels for Pilipino
Telephone Corporation's 34 Billion Peso (US$750 M) debt restructuring,
the largest in the Philippines to have ever been successfully concluded
on a consensual basis. In 2005 he advised the principal lender in
the acquisition by THLee Putnam Ventures of the largest Philippine BPO,
SPi Technologies, Inc. as well as its subsequent sale to ePLDT.
In 2006, he represented the underwriters in Meralco's 12 Billion Peso
(US$255 M) bond offering, the Philippines' largest domestic debt deal
to date. His work regularly includes representing clients interests
before regulatory agencies such as the Philippine Securities and
Exchange Commission and the Bangko Sentral ng Pilipinas.
Professional Activities
Mr.
Montilla has been a lecturer at the Ateneo School of Law where he
taught an introduction to corporate finance. His other professional
interests include international environmental law and he has published
a paper on state liability for transnational pollution.
