As head this department, she is responsible for all projects of the firm involving securities law practice including registration of securities, offerings to the public, and stock exchange listings. Major functions include supervision of conduct of due diligence of companies offering securities to the public, preparation of offering memoranda and circulars, negotiation and preparation of underwriting contracts. Major clients serviced are financial institutions, investment banks and investment houses, and publicly-held companies. She is also involved in major investment projects of foreign companies in the Philippines, acquisitions, joint ventures and mergers and consolidations, as well as organization of mutual fund companies. She supervises the work of about 15 lawyers in the firm engaged in securities law practice. Practice As partner in charge of the Securities Department of the firm, she has headed project teams which have undertaken several major projects involving the flotation of equity and debt securities and listings at the Philippine Stock Exchange, including offshore listing, of various Philippine corporations, either as counsel for the underwriters or the issuer. These projects involve several Initial Public Offering (IPOs) of leading Philippine-registered companies, offered both domestically and internationally, including offerings in the form of Global Depositary Shares (GDS), Philippines Depository Receipts (PDRs) and other financial instruments, such as options and warrants. She has been involved in various securitization projects, structured financing and similar projects. She has also assisted in the financing of various projects of the Philippine Government, consisting mostly of bond flotation and issue of other debt instruments. She has also assisted the Philippine Securities and Exchange Commission and the Philippine Stock Exchange in drafting rules and regulations affecting the capital markets, including the regulations on stock warrants, and secondary listing of foreign companies. She has also worked with various organizations of financial institutions such as the Bankers Association of the Philippines and the Investment Houses Association of the Philippines by assisting them on major legal issues and formulation of policies and proposed legislation and regulations. She headed the team involved in various privatization projects, debt restructuring and rehabilitation of Philippine private companies and acted as receiver in the rehabilitation of some financially distressed corporations. Cynthia was admitted to the Philippine Bar in March 1977, placing 11th in the Philippine Bar Examinations given November, 1976.
