Atty. Cua's practice deals with a broad range of corporate work by providing clients advice and services in (a) all phases of doing business in the Philippines, (b) the applicable laws on the various business forms
and alternative structures open to investors, (c) incentives available for a particular type of investments, (d) legal procedures and documentations for conducting business , (e) allied corporate and post organization requirements, (f) foreign exchange regulations affecting
remittance of dividends and capital repatriation as well as trade and non trade trnsactions of the company, (g) mergers and acquisistions, (h) corporate restructuring, (i) dispositions of corporate assets, and (j) dissolutions and winding up of operations.She has extensive practice in joint ventures particularly in negotiation and drafting of joint venture agreements, shareholders agreements, management and consultancy agreements, including international licensing and technology and transfer
agreements;
Atty. Cua was admitted to the Philippine Bar in 1974 and New York Bar in
1990.
Practice
Atty. Cua has assisted local and international clients in the establishment of corporations, branch offices, partneships, representative offices, regonal area headqurters(RHQs and ROHQs) and
other business entities such as proprietary membership clubs, non-stock corporations, and private foundations for civic, charitable purposes and religious foundations. She regularly advises ongoing operations of companies engaged in wide range of activities, such as car assembly and manufacturing, domestic and international freight forwarding, semiconductors, pharmaceutical, importers/exporters, and cosmetics processing and manufacturing , real estate development, call centers and IT-related endeavors; She regularly assists clients in regulatory and transactional matters, including negotiation, preparation, review and revisions of business contracts .She has represented both Philippine and foreign clients in various dealings before the Securities and Exchange Commission (SEC), Board of
Investments (BOI), Philippine Economic Zone Authority (PEZA), Clark Development Authority (CDA), Subic Bay Metropolitan Authority (SBMA), Bangko Sentral ng Pilipinas (BSP), Intellectual Property Office (IPO),
Civil Aeronautic Board (CAB), Land Registration Authority (LRA), Home and Land Use Regulatory Board (HLURB) and other various government regulatory
agencies in the Philippines. Professional Activities
